These Terms and Conditions of Use ("Terms") govern your access to and use of the website located at https://erclock.com and any of its subdomains, pages, features, content and functionality (together, the "Site" or "ERClock"). Please read these Terms carefully before using the Site.
The Site is operated by Search Ventures Ltd, a company registered in England and Wales under company number 10588553, whose registered office is at 82a James Carter Road, Mildenhall, Bury St. Edmunds, England, IP28 7DE, United Kingdom ("we", "us", "our" or the "Operator"). You can contact us at [email protected].
By accessing or using the Site, by viewing any wait-time figure, and/or by making any Submission, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. Where the Site presents a notice adjacent to the wait-time display or the submission form stating that use or submission constitutes acceptance of these Terms (with a link to them), your continued use or your submission confirms that acceptance. If you do not agree to these Terms, you must not access or use the Site.
On-site notices form part of these Terms. The Medical and Emergency Disclaimer and any short-form safety, freshness or warning notices that we display on the Site (including notices shown on first visit, on the wait-time screens and adjacent to wait-time figures and the submission form) are incorporated into, and form part of, these Terms. Where any on-site notice and these Terms address the same matter, they are to be read together and, to the extent of any genuine conflict, the interpretation more protective of your health and safety prevails.
1. MEDICAL AND EMERGENCY DISCLAIMER — PLEASE READ FIRST
THIS IS THE MOST IMPORTANT PART OF THESE TERMS. READ IT BEFORE USING THE SITE.
ERClock IS NOT A MEDICAL SERVICE AND DOES NOT PROVIDE MEDICAL ADVICE. The Site is an information and directory service only. The information on the Site, including emergency-room ("ER") and urgent-care ("UC") wait-time estimates, addresses, opening hours, quality measures, ratings and community submissions, is provided for general informational purposes only.
IN A MEDICAL EMERGENCY, CALL 911 (OR YOUR LOCAL EMERGENCY NUMBER) IMMEDIATELY, OR GO TO THE NEAREST EMERGENCY ROOM. DO NOT USE THIS SITE TO DECIDE WHETHER, WHERE OR WHEN TO SEEK EMERGENCY OR URGENT MEDICAL CARE.
You acknowledge and agree that:
- The Site is NOT a substitute for professional medical advice, diagnosis, treatment, triage or emergency care. Always seek the advice of a qualified physician or other healthcare provider with any questions you may have regarding a medical condition.
- You must NEVER delay seeking, disregard, or avoid professional medical care, or rely on the absence, presence, accuracy, currency or content of any information on the Site, when deciding whether or where to seek care.
- The Site is for general orientation only and must NOT be used to compare facilities, or to select between facilities, for time-sensitive, emergency or urgent care. Wait-time figures are indications, not predictions, and are not a representation or promise that you will be seen, triaged or treated within any stated time.
- Wait times are estimates only. They are defined and calculated differently by different sources, are frequently out of date, and may be wrong, incomplete or entirely missing. A short displayed wait time does not mean you will be seen quickly; a long or missing wait time does not mean you should go elsewhere or wait. Actual wait times depend on your condition, the facility's triage and many factors outside our knowledge and control.
- Missing, blank, zero or unavailable data means nothing. The absence of a facility, or of any wait-time figure, must NEVER be interpreted to mean that a facility is closed, full, slow, busy, unsuitable, or any other thing. If in doubt, contact the facility directly or call 911 or your local emergency number.
- Check how current the information is. Where the Site shows when a figure was last updated, you must not rely on any figure without checking its age; where no such time is shown, you must assume the figure may be stale.
- No professional relationship is created. Your use of the Site does not create any doctor-patient, clinician-patient, advisory, fiduciary or professional relationship between you and us.
- Decisions about your health and care are yours alone. Any decision you make about whether, where or when to seek medical care is made on your own independent judgement and at your own risk, and (where lawful) you assume the risk of relying on the Site.
If you are unsure whether a situation is an emergency, treat it as an emergency and call 911 or your local emergency number.
Nothing in this section or these Terms limits or excludes any liability that cannot lawfully be limited or excluded — see Sections 12.4 and 13.1.
2. About the Site and Acceptance of these Terms
2.1 ERClock is a free, ad-free informational website that aggregates and displays ER and UC wait-time information, together with directory information (such as addresses, opening hours, US Centers for Medicare & Medicaid Services ("CMS") quality measures and Google ratings) for healthcare facilities across the United States.
2.2 The Site does not offer user accounts, logins, payments, subscriptions or e-commerce. We do not sell any product or service to you through the Site. We receive no commission, referral fee or other commercial benefit from directing you to any facility, and we have no commercial relationship with, and do not promote, any facility.
2.3 By accessing or using the Site you agree to these Terms. Where we present a notice adjacent to the wait-time display or the submission form stating that use or submission constitutes acceptance (with a link to these Terms), your continued use of the Site, or your making of a Submission, after a reasonable opportunity to read these Terms, indicates your acceptance of the Terms then in force.
2.4 These Terms apply to all visitors and users of the Site.
2.5 In these Terms, a "consumer" means an individual acting wholly or mainly outside that individual's trade, business, craft or profession. Provisions expressed to apply to consumers apply only to such individuals; all other users are treated as non-consumer (business) users, in relation to whom the relevant reasonableness tests under the Unfair Contract Terms Act 1977 apply.
3. Eligibility
3.1 You may use the Site if you are able to understand and accept these Terms. The Site is intended for a general adult audience seeking facility information and is not directed to children. If you are under 18, you should use the Site only with the involvement of a parent or guardian. Whatever your age, the Medical and Emergency Disclaimer in Section 1 applies to you: in an emergency, call 911 or your local emergency number.
3.2 We do not knowingly collect personal data from children. Our data-protection position in relation to children (including the age thresholds that apply to the collection of personal data) is set out in our Privacy Policy; this eligibility provision and the Privacy Policy are to be read consistently.
3.3 You are responsible for ensuring that your use of the Site is lawful in the country and jurisdiction from which you access it. The Site concerns US facilities and is intended primarily for a US audience, but is operated from the United Kingdom.
4. Information Only — No Professional Relationship; No Reliance
4.1 All content on the Site is provided for general information and orientation only and is not advice of any kind (medical, clinical, legal, financial, insurance or otherwise) on which you should rely.
4.2 We make no representation and give no warranty that any facility shown on the Site is open, operating, accepting patients, appropriate for your needs, or suitable for any particular condition or situation.
4.3 You are solely responsible for any decision or action you take, or refrain from taking, on the basis of information on the Site, and you do so at your own risk to the fullest extent permitted by law. This Section describes how decisions about care are yours; it is not, and shall not be read as, an exclusion or limitation of liability, and Sections 12.4 and 13.1 govern liabilities that cannot lawfully be excluded.
5. Accuracy, Coverage and Availability Disclaimer
5.1 Estimates and third-party data. Wait-time information and much of the directory information displayed on the Site is derived from third-party and public sources and from community submissions. It consists of estimates and unverified information. We do not promise, represent or warrant that any such information is accurate, current, complete or available, and it may be inaccurate, out of date, incomplete, unavailable or wrong.
5.2 Sources may differ and may err. Different sources define and calculate "wait time" differently. We do not control these sources and do not promise or warrant their content, methodology, accuracy or availability. The mapping of a facility's name or identifier to the correct location may contain errors.
5.3 Partial coverage. Coverage is partial and varies. The absence of a facility or of wait-time data does not indicate anything about that facility and must never be interpreted to mean that a facility is closed, full, slow, busy or unsuitable, or that you should or should not attend it.
5.4 Community submissions. Some information is submitted by members of the public, is unverified, and may be inaccurate, mistaken, malicious or false. We aim to label community-submitted readings as such and to present them separately from official feeds, and we do not endorse them; however, we do not warrant that every reading is correctly labelled or classified.
5.5 Correction and updating. We will take reasonable steps to remove or correct information that we know to be materially wrong, but we do not warrant that we will identify, verify or correct any particular error, or that we will continue to display any information. Information may be changed or removed at any time.
5.6 Availability. The Site is provided on an "as available" basis. We do not promise or warrant that the Site, or any feature or data feed, will be available, uninterrupted, timely, secure or error-free. We may suspend, withdraw, restrict or change all or any part of the Site without notice; our liability in connection with any such suspension, withdrawal, restriction or change is governed by, and subject to the carve-outs in, Section 13.
5.7 Statutory rights preserved. Nothing in this Section limits or excludes any liability or right that cannot lawfully be limited or excluded, including (where applicable) your non-excludable rights under the Consumer Rights Act 2015 (see Sections 12.4 and 13.1).
6. Insurance, Network Status and Billing
6.1 The Site displays no pricing, cost, insurance-coverage or network-status information and makes no representation about whether any facility is in-network, out-of-network, low-cost or covered by any insurance plan.
6.2 Facility classification. The classification or labelling of a facility as "ER", "emergency", "urgent care" or "UC" on the Site reflects how the underlying sources describe it and does not indicate the facility's billing model, ownership, freestanding or hospital-based status, services offered, or whether it is subject to, or excluded from, the protections of the federal No Surprises Act or any state surprise-billing law. Some facilities described as urgent care may in fact operate or bill as emergency rooms (including freestanding emergency rooms), and vice versa.
6.3 You are solely responsible for verifying directly with the relevant facility and your insurer the cost of care, billing arrangements, facility classification and network/coverage status before relying on any of them. We accept no responsibility for any charge, bill, surprise bill, out-of-network cost or other expense you may incur.
6.4 Nothing in this Section limits or excludes any liability that cannot lawfully be limited or excluded, including (where applicable) your non-excludable rights under the Consumer Rights Act 2015 (see Sections 12.4 and 13.1).
7. Third-Party Data, Sources and Links
7.1 Information displayed on the Site is obtained from sources including: CMS public hospital datasets; Google Business Profile data (such as ratings, hours and photos) obtained via a third-party data provider; publicly-accessible wait-time feeds and widgets published by health systems and platforms; and community submissions. The underlying data remains the property of, and the responsibility of, its respective sources and owners.
7.2 The Site may contain links to, or content from, third-party websites, services and resources that are not controlled by us. We provide these for convenience only. We do not endorse and are not responsible for any third-party site, service, content, product, policy or practice, and your use of them is at your own risk and subject to their terms.
8. No Affiliation; Trademarks
8.1 No affiliation. ERClock is an independent service. We are not affiliated with, endorsed by, sponsored by, authorised by or connected to any hospital, health system, urgent-care provider, CMS, any government or governmental body, Google, or any other facility, source or data provider referred to on the Site.
8.2 Trademarks and names (nominative fair use). Facility names, health-system names, source names, logos and trademarks are the property of their respective owners. They are used on the Site solely to identify and refer to the relevant facilities and sources (nominative fair use). Their use does not imply any affiliation, endorsement or sponsorship.
9. Intellectual Property and Licence to Use the Site
9.1 Our rights. As between you and us, the Site and its selection, arrangement, compilation, presentation, design, layout, look and feel, text, graphics, software and other materials we create (the "ERClock Materials") are owned by or licensed to us and are protected by intellectual property laws, including copyright and, to the extent it subsists, the sui generis database right in our own compilation (which reflects our own substantial investment in obtaining, verifying, organising and presenting the compilation, independently of any single source).
9.2 No claim over source data. We do not claim ownership of the underlying third-party or public data (including CMS data, Google Business Profile data and health-system feeds), which remains the property of its respective owners.
9.3 Limited licence to you. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Site and to view ERClock Materials for your own personal, non-commercial informational use only.
9.4 Reservation. All rights not expressly granted are reserved. Except as expressly permitted by these Terms or by mandatory law, you may not copy, reproduce, extract, re-utilise, republish, redistribute, scrape, harvest, frame, mirror, sell, licence, or create a database or derivative work from any part of the Site or the ERClock Materials.
10. Acceptable Use and Prohibited Conduct
10.1 You agree that you will not, and will not attempt to, and will not permit or assist any other person to:
(a) use any robot, spider, scraper, crawler, bot, script or other automated means to access, monitor, index, extract, copy or collect data from the Site, except for the operation of standard public search engines acting in accordance with our robots.txt;
(b) extract, harvest, copy, re-utilise or republish all or a substantial part of the data or database made available through the Site, or build or populate any database, product or service from it;
(c) place an unreasonable or disproportionately large load on, overload, flood, disrupt or impair the Site or its infrastructure, or conduct or facilitate any denial-of-service or distributed denial-of-service attack;
(d) circumvent, disable, bypass or interfere with any rate-limiting, access control, anti-bot mechanism (including Cloudflare Turnstile), security feature or technical measure of the Site;
(e) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, structure or underlying ideas of any part of the Site, except to the limited extent this restriction is prohibited by applicable law;
(f) introduce or transmit any virus, malware, worm, trojan or other harmful or malicious code, or probe, scan or test the vulnerability of the Site or breach or circumvent any security or authentication measures;
(g) submit any community submission or other content that is false, misleading, fraudulent, manipulative, defamatory, abusive, harassing, obscene, unlawful, or that infringes any third party's rights, or that you do not believe to be accurate to the best of your knowledge;
(h) use the Site or any content for any unlawful, harmful, fraudulent or infringing purpose, or in any way that could damage, disable, overburden or impair the Site or the reputation or rights of us or any third party;
(i) impersonate any person or entity or misrepresent your affiliation; or
(j) use the Site in any manner not expressly permitted by these Terms.
10.2 We may use technical and other measures (including Cloudflare, Cloudflare Turnstile, salted-hash rate-limiting and other controls) to monitor and enforce compliance with this Section.
11. User-Generated Content (Community Submissions)
11.1 What you may submit. The Site allows you to submit limited wait-time information for a facility, consisting of facility type, facility identifier, wait time in minutes and the visit timestamp ("Submissions"). We do not require or collect your name, email, phone number or any account from you in order to make a Submission. How we handle the technical data associated with a Submission (including a salted hash of your IP address used for rate-limiting) is described in our Privacy Policy.
11.2 Your warranties. Each time you make a Submission you represent and warrant that, to the best of your knowledge, the information is accurate and genuine; that it is not false, misleading, defamatory, abusive or otherwise unlawful; that you are entitled to submit it; and that it does not infringe the rights of any third party.
11.3 Licence to us. You grant us a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, aggregate, analyse, publish and display your Submissions (including in aggregated or derived form) for the purpose of operating, providing and improving the Site's wait-time information service. This licence reflects the limited, factual nature of Submissions and is no broader than necessary for that purpose. The licence is granted to the extent permitted by law and does not override any data-protection rights you may have under our Privacy Policy, including any right to erasure of personal data associated with a Submission. Aggregated or anonymised statistics derived before any such withdrawal or erasure may continue to be used. Submissions themselves contain no name, email or account; we handle any associated technical data (including the salted hash of your IP address used for rate-limiting) as described in, and in accordance with, our Privacy Policy.
11.4 No obligation to publish or monitor; right to remove. We are under no obligation to publish, retain, review or monitor any Submission. We may, in our discretion and without notice, decline to publish, edit, refuse, remove or delete any Submission at any time. Our liability in connection with any such action is governed by, and subject to the carve-outs in, Section 13.
11.5 Notice and takedown. If you believe any content on the Site is inaccurate, infringing, defamatory or otherwise objectionable, please contact us at [email protected] with details (identifying the content, the facility or matter concerned, and why it is objectionable). We will acknowledge such notices promptly and, in any event, normally within 48 hours, and will review them without undue delay. Where a complaint concerns an unverified community-submitted reading about a named facility and we are not reasonably able to verify the reading or to contact its author (Submissions being anonymous), we will normally remove or suppress the reading within a short period following a valid notice. This process does not create any general obligation to monitor content, and nothing in this Section is an admission of liability.
12. Disclaimer of Warranties ("As Is" / "As Available")
12.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, DATA, INFORMATION, WAIT TIMES, RATINGS AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE.
12.2 TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF ACCURACY, COMPLETENESS, CURRENCY, RELIABILITY, AVAILABILITY, TITLE, NON-INFRINGEMENT, SATISFACTORY QUALITY, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, and any warranty that the Site will be uninterrupted, timely, secure, error-free, or free of viruses or harmful components, or that any information (including any wait time) is or will be accurate, current, complete or available. The exclusions in this paragraph 12.2 do not apply to the extent the relevant warranty, term or right cannot lawfully be excluded against you, including non-excludable rights under the Consumer Rights Act 2015 (see paragraph 12.4).
12.3 No advice or information, whether oral or written, obtained from us or through the Site, creates any warranty not expressly stated in these Terms.
12.4 Statutory rights and non-excludable terms. Nothing in this Section or these Terms affects, removes or limits any rights or remedies you may have under mandatory law that cannot lawfully be excluded or restricted, including (where applicable) your rights under the Consumer Rights Act 2015. Where any term is implied by law and cannot lawfully be excluded, these Terms are to be read subject to that term.
13. Limitation of Liability
13.1 Liabilities that cannot be excluded. Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) breach of the terms implied by section 49 (reasonable care and skill) or section 50 (information about the trader or service) of the Consumer Rights Act 2015, or any other liability to a consumer that cannot lawfully be excluded or restricted; or (d) any other liability that cannot lawfully be excluded or limited under applicable law. The remainder of this Section applies subject to, and does not affect, this paragraph 13.1.
13.2 What we are not liable for (subject to 13.1). To the fullest extent permitted by law, we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise, for any:
(a) loss or damage arising from your reliance on, use of, or inability to use the Site or any content, including any wait time or its absence, inaccuracy, staleness or unavailability;
(b) decision, action or inaction relating to medical, emergency, urgent or other care taken on the basis of the Site;
(c) loss arising from the acts, omissions, content, accuracy or availability of any third-party source, data provider, feed, facility, linked site or community submission;
(d) loss of profits, revenue, business, goodwill, opportunity, anticipated savings, data, or wasted expenditure; or
(e) indirect, special, incidental, consequential, exemplary or punitive loss or damage,
in each case whether or not such loss was foreseeable and whether or not we were advised of the possibility of such loss.
13.3 Aggregate cap. Subject always to paragraph 13.1 (which is not affected, limited or reduced by this paragraph), and to the fullest extent permitted by law, our total aggregate liability to you for all loss other than liability described in paragraph 13.1, arising out of or in connection with the Site and these Terms, however arising, shall not exceed one thousand pounds sterling (£1,000). We have set this cap taking into account that the Site is provided entirely free of charge, that it is an information service only, that you make your own independent decisions about care, and that the most serious foreseeable risk (death or personal injury caused by our negligence) is expressly not capped or excluded under paragraph 13.1.
13.4 Allocation of risk. You acknowledge that the Site is provided free of charge, that the disclaimers and limitations in these Terms reflect a fair and reasonable allocation of risk between us, and that we would not provide the Site on a free basis without them. Subject always to paragraph 13.1 and to your mandatory rights under applicable consumer law, the limitations in this Section apply even if any limited remedy is found to fail of its essential purpose.
13.5 Consumers. If you are a consumer, the limitations and exclusions in this Section apply only to the extent permitted by the law applicable to you; nothing in these Terms affects your statutory rights as a consumer or any mandatory protections of the law of your country or state of residence (see Section 17).
13.6 Basis of the bargain. Each provision of these Terms that provides for a limitation of liability, disclaimer of warranties or exclusion of damages is intended to and does allocate the risks between the parties, is a material basis of the bargain between us, and is severable and independent of every other provision.
14. Indemnity
14.1 Subject to paragraph 14.2 (which applies if you are a consumer), to the fullest extent permitted by law, you agree to indemnify and hold harmless the Operator and its officers, directors, employees and agents from and against any claims, demands, losses, liabilities, damages, costs and reasonable expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your misuse of the Site; (c) any Submission or other content you provide; or (d) your violation of any law or of the rights of any third party.
14.2 Consumers. If you are a consumer, you are not required to defend or conduct any claim, and your liability under this Section is limited to reimbursing us for losses we actually and reasonably incur that arise directly from your deliberate or negligent breach of these Terms, your unlawful conduct, or a Submission you knew or ought reasonably to have known was false. You are not required to compensate us for losses that were not caused by you or that you could not reasonably have foreseen, and nothing in this Section requires you to indemnify us to any extent that would be unfair or unenforceable under the law applicable to you.
14.3 For users who are not consumers, we reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification, in which case you agree to cooperate with us, and you will not settle any matter affecting us without our prior written consent. This paragraph 14.3 does not apply to consumers.
15. Suspension and Termination of Access
15.1 We may, at any time and in our discretion, without notice, suspend, restrict, block or terminate your access to all or any part of the Site, including where we reasonably believe you have breached these Terms or where necessary to protect the Site, other users, third parties or us. Our liability in connection with any such suspension, restriction, blocking or termination is governed by, and subject to the carve-outs in, Section 13.
15.2 The following Sections survive any termination or expiry of these Terms or of your access: Sections 1, 4, 5, 6, 8, 9, 11.2–11.5, 12, 13, 14, 17 and 18, together with any other provision which by its nature is intended to survive.
16. Changes to the Site and to these Terms
16.1 Changes to the Site. We may change, suspend, withdraw, restrict or discontinue all or any part of the Site, or any data feed or feature, at any time without notice. Our liability in connection with any such change, suspension, withdrawal, restriction or discontinuance is governed by, and subject to the carve-outs in, Section 13.
16.2 Changes to these Terms. We may update these Terms from time to time. The current version will always be posted on the Site with its Effective date. Where changes are material, we will post a prominent notice on the Site before they take effect. Changes are not retroactive and we will not apply them to your detriment in respect of your past use. Your continued use of the Site after material changes take effect, having had a reasonable opportunity to review them, indicates your acceptance of the revised Terms; if you do not agree, your remedy is to stop using the Site, which you may do at any time and at no cost.
17. Governing Law and Jurisdiction
17.1 Governing law. These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter or formation, are governed by and construed in accordance with the law of England and Wales.
17.2 Jurisdiction. Subject to paragraph 17.3, the courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.
17.3 Consumers — mandatory protections. If you are a consumer, nothing in this Section deprives you of the protection afforded to you by mandatory provisions of the law of the country or US state in which you are habitually resident, and you may also be entitled to bring proceedings in, or be subject to the mandatory consumer law of, your place of residence. This Section does not, and is not intended to, override any such mandatory rights.
17.4 US users. If you access the Site from the United States, you do so on your own initiative and are responsible for compliance with applicable local law. The choice of English law and forum above does not deprive you of any mandatory consumer protection to which you are entitled under the law of your state of residence.
18. General
18.1 Severability. If any provision (or part of a provision) of these Terms is found to be invalid, illegal or unenforceable, that provision or part will be deemed modified to the minimum extent necessary to make it valid and enforceable, or, if it cannot be so modified, severed; the remaining provisions will continue in full force and effect. The invalidity of a provision in one jurisdiction does not affect its validity in any other.
18.2 No waiver. No failure or delay by us in exercising any right or remedy under these Terms constitutes a waiver of that or any other right or remedy. No single or partial exercise of any right or remedy prevents any further exercise of it or of any other right or remedy. A waiver is effective only if given in writing.
18.3 Entire agreement. These Terms, together with the Privacy Policy and any on-site notices incorporated by reference under the introduction to these Terms and Section 1, constitute the entire agreement between you and us relating to your use of the Site and supersede all prior agreements, understandings and representations relating to that subject matter. Nothing in this Section limits or excludes any liability for fraud or fraudulent misrepresentation.
18.4 Assignment. We may assign, transfer, novate, sub-contract or otherwise deal with any or all of our rights and obligations under these Terms at any time without your consent, provided that we will not do so in any way that reduces the rights or protections you have under these Terms or under applicable consumer law. You may not assign, transfer or otherwise deal with any of your rights or obligations under these Terms.
18.5 No third-party rights. Except for the Operator's officers, directors, employees and agents referred to in Section 14 (who may enforce Section 14), a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of these Terms. The consent of any such third party is not required to vary or rescind these Terms.
18.6 Force majeure. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations, or for any unavailability of or fault in the Site, that is caused by any event or circumstance beyond our reasonable control, including failure of, or interruption to, third-party data feeds, hosting, content-delivery networks, telecommunications or internet services, power, acts of God, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, governmental action, strikes or cyber-attack. This Section does not limit any liability that cannot lawfully be excluded (see Sections 12.4 and 13.1).
18.7 Relationship. Nothing in these Terms creates any partnership, joint venture, agency, employment or fiduciary relationship between you and us.
18.8 Notices and headings. We may give notices to you by posting them on the Site. Headings are for convenience only and do not affect interpretation. References to "including" mean "including without limitation".
